Terms and Conditions of Service

DesignsByFelicia.com and "Space" are operating company names for Off Limits Interior Design Projects, Ltd.

When purchasing a product or service from DesignsByFelicia.com you acknowledge that you have read and understand the following Terms and Conditions

  1. DesignsByFelicia.com, "Space" and Off Limits Interior Design Projects, Ltd. will be referred to as "The Company" in this document. The buyer (You) will be referred to as "The Client"
  2. The Client is responsible for supplying "The Company" and/or its designers with all of the pre-requisite information and documentation required (see "D" for further details), within 10 days of approval of this Agreement. Upon failure to fulfill his obligations, the Client shall be responsible for any additional time involved in order for "The Company" and/or its designers to complete the project. "The Company" and/or its designers will be entitled to terminate further performance of this Agreement or negotiate new terms of compensation.
  3. In the case of "local" projects (projects in the Metro Toronto area, Canada), "The Client" will grant reasonable access to the premises for the Designer or authorized agents of "The Company".
  4. Either "The Company" or "The Client" can terminate this agreement if the other fails substantially to live up to its terms. In the event of termination by "The Client", "The Client" will pay "The Company" for all services performed, work done and expenses due up to the date of termination.
  5. "The Company" and/or its designers reserve the right to photograph the project upon completion.
  6. "The Company" and/or its designers do not warrant that goods or materials specified/recommended as part of the Consulting Services are free of defects, fit for the purpose intended or merchantable and shall not be responsible for any defect in materials or things specified for "The Client or the services supplied to "The Client"" by others. "The Client" agrees to look only to the manufacturer or seller of the goods and materials specified by "The Company" and/or the Designer or chosen by "The Client" for any legal remedy in respect of such goods or materials.
  7. "The Company" and/or its designers shall not be responsible in any way for any part of the carrying out and implementation of the Design contemplated by this proposal and under these drawings. The Client warrants that all information, reports, statements of requirements, studies, programs, plans, surveys and drawings provided to "The Company" and/or it's Designer(s) by "The Client" and their associated parties, are accurate, complete and reliable, and "The Client" acknowledges that "The Company" and/or it's Designer will rely on them in entering into and performing this Agreement.
  8. "The Company" and/or its designers shall not be responsible or liable in any way for any changes made by "The Client" or other associated parties to any of the suggestions, specifications, drawings or other information related to the project here included or attached.
  9. All documents, drawings, sketches, specifications, sample boards, photographs, and renderings which are part of the Consulting Services are original works and are therefore subject to copyright protection and all rights and ownership in such copyrights shall remain in and with "The Company" and/or it's Desiger. Any reproduction or re-use of such items without prior written consent of "The Company" is not permitted.
  10. The design and drawings accompanying this project are the exclusive property of "The Company" and cannot be reproduced without permission. All specifications and drawings are for reference purposes only. Contractors and all other trades people involved in the project must verify all job dimensions, drawings’ details and specifications prior to proceeding with work.
  11. "The Client" understands and accepts that colours of fabrics, paint or other materials supplied may vary slightly in comparison to the samples used for colour selection.
  12. "The Client" expressly acknowledges that "The Company" and/or its designers will not have control or be in charge of and will not be responsible for the means, methods, techniques, sequences or procedures of construction, fabrication, procurement, shipment, delivery or installation or for safety precautions and programs in connection with the work required in order to implement the design, for the acts or omissions of the contractors, subcontractors, suppliers, or any other persons performing any of such work, or the failure of any of them to carry out such work in accordance with contract documents.
  13. "The Company" and/or its Designers may place one of its company's signs and logo on the premises for which the Consulting Services are being performed for the duration of the work.
  14. Additional Services beyond the scope of this agreement, will be discussed in detail and agreed separately.
